Overview of Our Off-the-Shelf Service
An off-the-shelf company is a company that has already been
incorporated and sits, as it were, 'on a shelf'.
Using an off-the-shelf allows you to start trading immediately using the
company as it is set up.
This does not suit everyone and we have a tailored NEW-incorporation service.
The company will still need to have your director(s), secretary etc...
appointed we also provide the completion of forms to set the company up
as you require from the start.
This is a unique internet service that allows you to
set up a UK Private Company limited by shares as you require.

Further Details On The Off-the-Shelf Service

Please do not be put off by the length of the form
it is quite quick and easy to fill out.
On completion of the order form we will call you for
payment by credit card unless you specify a different arrangement. We send out the company
documents the same day by first-class post (please see below for international orders).
We also fill in the neccesary forms to set-up
the company as you require from the start with regards to director(s),
secretary, shareholder(s) and share capital. These forms must be signed and
returned to us in the envelope provided. We then copy them and sent them to Companies House to
complete the appointments or changes.
An off-the-shelf company is a company that has already been incorporated and
sits as it were 'on-the-shelf'. The companies our incorporated with one
director, one secretary and one shareholder. We resign all these postions,
transfer the share to your nominated receipient and appoint your own director(s)
and secretary.

Who the director(s) will be.
Who the secretary will be.
Where the registered office will be located.
Who the shareholder(s) will be and how many shares they should receive.
The Company is incorporated with a general objects clause which allows it to
undertake all legal business activities.
Items that can be changed:
What the authorised share capital will be.
Name of the Company. We charge £25 to do this. The change of name takes
about 5-7 days to complete. Once it is complete you receive a change of name
certificate. If you wish to change the name please find an available name to start with by
searching in our Company Name Availability Database.
Payment for the Off-the-shelf Service
The total cost of an off-the-shelf company is £105. This includes setting up
the company as you want from the start - all you have to do is sign the
forms and return to us. It also includes a completed Loose-leaf register (see right) and first-class postage costs.
We ask for payment for the off-the-shelf company prior to shipping. Our
usual method for obtaining payment is to phone you the same day to ask you
for credit card details. Payment is also possible by other means but, as
mentioned above, we cannot send out the company documents until we receive
payment.
For
international orders the cost includes normal air-mail costs - we can ship
by courier or other methods but would have to pass the cost on to you.
There are no further costs -
£105 purchases the company and we fill in the neccesary forms to set-up
the company as you require from the start.

What Happens
Step 1:
Please select a company and complete the order form.
Step 2:
After we receive the completed order form we will phone you for credit card
payment details. The total cost of the company is £105 and includes setting
up the company as you require.
We are also including a Company Register for the
price above with all the statutory sections filled
in as you have indicated in the order form.
Step 3:
We send the company documents out the same day by first-class post (please see
above for international orders).
On receipt of the documents the forms appointing the director(s), secretary
and other company changes should be signed. These forms should then be
returned to us.
Step 4:
We send the appointment forms to Companies House to complete the
appointments or changes to the company. It takes Companies House
approximately 5-7 days to formally register the changes to the company.

What the Off-the-shelf Service Includes
A Company set-up as you want from the
start:
We complete all the forms neccesary to set the company with items such as
director(s), secretary, shareholder(s) etc...... All you need do is sign and
return the forms to us.
The company is ready to trade from its incorporation date - no further work
is required on your behalf.
There are no further charges to be incurred: the next charge for the company would be one year after incorporation when the first
annual return is due at a cost of £15 payable to Companies House. It is a complete
solution.
A Completed Loose-Leaf Company Register
A completed Loose-leaf register.
Our current offer includes a loose-leaf register.
We will complete all the entries - according to your submitted order form
so that the register is up to date and is ready for the company to start
trading. The offer also includes printed and completed Share Certificates - all
you need do is have the director(s)/secretary sign them and hand them to the
new shareholder(s).
Certificate of Incorporation
The Certificate of Incorporation of the company. This formally gives the
date that the company was incorporated on and consequently the date on which it may start trading. It also includes the registered number of the company.
Guarantee of Non-trading and Minutes of the First Meeting
We include a guarantee that the company has not traded and that we have
resigned as director and secretary of the company.
Minutes of the first meeting of the directors. These minutes formally
announce our resignation as director and secretary and
appoint your new director(s) and secretary. They also change the registered office
of the company to the new address.
Minutes of the Second Meeting
These minutes transfer the subscriber share that we took up on incorporation
to your new shareholder(s) and allot further shares.
The minutes also deal with autnorisation for the
opening of a bank account and appointment of auditors if neccesary.
Photocopies of all Documents Sent to Companies House
We photocopy all the documents that we send to Companies House for
incorporation of the company so that you have a complete record of the
company.
The copies also include the Memorandum and Articles of Association as submitted to Companies House.
The copies also include a copy of our resignation form as
director and secretary of the company - as proof that we have
resigned.
Share Transfer Form
The share transfer form transfers the subscriber share that we took up on
incorporation to your named shareholder.
The stamp duty on this share transfer has already been paid.
Three Copies of the Articles and Memorandum of Association
We include three copies of the Memorandum and Articles of Association. These
can be handed to the shareholders so they know 'company rules'. A copy is
usually required by a bank on opening an account for the company.
Companies House Booklet - The New Company Looking Forward
This booklet includes:
Information for the new director(s). Information on
the when accounts should be submitted.
Information on the accounting reference date.
Information on running the company with regards to filing forms at Companies
House.
